Strive’s Bold Pivot: Scaling Bitcoin Acquisitions Through SATS Preferred Stock
Strive, a leading Bitcoin treasury company, is aggressively expanding its digital asset reserves through the introduction of a new preferred-stock instrument. By launching "SATS," a security designed to raise $500 million, the firm aims to bypass existing financing hurdles and accelerate its Bitcoin accumulation strategy while market prices remain favorable.
Overcoming Financing Constraints with SATS
The introduction of SATS follows the rapid growth of Strive’s initial "SATA" preferred stock, which helped the company’s Bitcoin holdings swell from 7,627 BTC to over 35,000 BTC in less than a year. However, restrictions on SATA—specifically a policy against issuing shares when trading prices dip below their $100 par value—have limited the company’s ability to tap into new capital. SATS addresses this by offering a fixed 15% annual dividend and a structure that provides investors with predictable income and greater potential for capital appreciation. This new instrument allows Strive to maintain its aggressive purchasing momentum regardless of SATA’s current trading patterns, targeting a total treasury of approximately 40,000 BTC.
The Strategy of Bitcoin Amplification and Risk Management
Strive’s broader goal is to leverage "Bitcoin amplification," a metric that balances preferred equity against the market value of its holdings to maximize returns for common shareholders. The company plans to allocate $387.5 million from the SATS offering directly to Bitcoin purchases, while setting aside $112.5 million for a dividend reserve. While the strategy relies on Bitcoin’s long-term appreciation outstripping the 15% dividend cost, the firm has established an 18-month reserve to buffer against market volatility. Despite a projected $257 million annual dividend obligation, management maintains that their unencumbered holdings and lack of traditional debt provide a safety net against significant market downturns. Ultimately, the success of this expansion hinges on the company's ability to raise further capital and the continued upward trajectory of the digital asset market.
