Metaplanet’s Strategic Pivot: A $329 Million Restructuring Move
Metaplanet, the Japanese corporate Bitcoin treasury firm, has announced an ambitious plan to raise $329 million (¥52 billion) through the issuance of zero-coupon convertible bonds. This aggressive financial maneuver is designed to overhaul the company’s balance sheet by refinancing high-risk, Bitcoin-backed debt and launching a substantial share buyback program to stabilize its struggling stock price.
Refinancing Debt and De-Risking the Treasury
The core objective of this capital raise is to reduce Metaplanet’s reliance on interest-bearing loans secured by its Bitcoin holdings. Currently, the company’s borrowing ratio stands at 17.7%, significantly exceeding its internal risk threshold of 10%. By utilizing approximately $149 million of the new bond proceeds to repay existing loans, Metaplanet aims to lower this ratio and free up its pledged Bitcoin collateral. This transition to unsecured, zero-coupon debt allows the firm to minimize immediate interest expenses and gain greater financial flexibility without being forced to sell its cryptocurrency reserves during market downturns.
Restoring Shareholder Value Through Buybacks
Beyond debt management, Metaplanet is taking decisive action to address a staggering 90% decline in its stock value from its 2025 peak. The company has authorized a new buyback program, allocating up to $179 million to repurchase approximately 14.7% of its outstanding shares. This initiative is intended to improve the company’s market-to-net-asset-value (mNAV) ratio and curb the dilution of existing shareholders. While the strategy includes complex hedging arrangements and the potential for future equity conversion, the overarching goal is to revitalize investor sentiment and align the company's market valuation more closely with its massive Bitcoin treasury.
