Evernorth’s Pivot to a Public XRP Treasury
Evernorth Holdings is preparing for a landmark entry into the public markets through a merger with Armada Acquisition Corp. II, with a shareholder vote set for September 30. Targeting a Nasdaq listing under the ticker XRPN, the company is positioning itself as a specialized treasury firm with a singular, ambitious goal: maximizing the amount of XRP held for every outstanding share. This "XRP per share" (XPS) metric will serve as the primary benchmark for the company’s performance and its value proposition to investors.
Strategic Capital Flexibility and the XPS Hurdle
The proposed corporate structure authorizes a staggering 10 billion shares, providing Evernorth with massive capacity to raise capital post-listing. While the initial transaction involves only a fraction of this amount, the authorized pool gives management the flexibility to return to equity markets to aggressively expand their XRP holdings. However, this strategy carries the inherent challenge of dilution; for the XPS metric to rise, the company must acquire XRP at a rate that outpaces the issuance of new stock. CEO Asheesh Birla has indicated that capital markets activity will be a primary tool, provided market conditions allow for accretive acquisitions that benefit long-term shareholders.
Active Management and Ecosystem Integration
Evernorth plans to move beyond a "buy and hold" strategy by transforming its treasury into an active yield-generating engine. The firm intends to deploy its XRP into institutional lending, liquidity provisioning, and decentralized finance (DeFi) strategies, specifically eyeing the upcoming XLS-66 Lending Protocol. By participating as a validator and utilizing Ripple’s RLUSD stablecoin, Evernorth aims to deepen its integration within the XRP Ledger infrastructure. While these activities offer a path to grow the treasury without issuing new shares, they also introduce risks such as protocol vulnerabilities and counterparty defaults that the company must navigate to maintain its growth trajectory.
