Digital Currency X Proposes Dramatic Reverse Stock Split and Capital Overhaul
Digital Currency X Technology Inc. is moving forward with a sweeping reorganization of its equity structure, highlighted by a proposed 160-for-1 reverse stock split. This strategic shift comes as the company continues its transition from electric vehicle manufacturing into the digital asset space, currently holding a treasury of EDGEAI tokens valued at over $400 million. Shareholders are scheduled to vote on the proposal on September 3, marking the firm's second major share consolidation within the same calendar year.
A Massive Share Consolidation Strategy
The proposed 160-for-1 consolidation would drastically condense the company’s share base, converting every 160 Class A or Class B shares into a single unit. This follows a smaller 12-for-1 split executed in January, which was originally intended to help the company regain Nasdaq minimum bid-price compliance. While the current filing does not specify a financing or compliance rationale, the move follows a significant private placement in July that added over 331 million shares to the base, suggesting a need to manage a rapidly expanding share count.
Resetting the Path for Future Growth
Accompanying the stock split is a multi-step resolution designed to reorganize the company's authorized share capital. The plan involves reducing the authorized shares to 18.75 million before immediately resetting that ceiling back to 3 billion shares at a higher par value. While these resolutions do not cause immediate dilution, they effectively "reset" the company's capacity to issue new stock. By maintaining a high authorization limit while shrinking the current outstanding shares, Digital Currency X secures the flexibility to issue a vast amount of new equity in the future to support its new focus on digital asset staking and blockchain technology.
